Platy Partner Agreement

1. Parties#

This Platy Partner Agreement (the "Agreement") is between Mayo Maines LLC DBA Platy OS, a Texas limited liability company with its principal address at 502 Tom Eubanks Rd, Gladewater, TX 75647 ("Platy," "we" or "us"), and the person or business that accepts it during Partner signup ("Partner" or "you"). If you accept on behalf of a business, you confirm that you have authority to bind that business, and "you" means the business.

2. Definitions#

• Program: the Platy Partner Program described in this Agreement.
• Company: a business that subscribes to Platy OS.
• Referred Company: a Company attributed to you under Section 4.
• Code: the referral code assigned to you in your Partner portal, including any team codes you add.
• Referral Link: a link to getplaty.com/r/ followed by your Code, or a QR code that points to it.
• Successful Charge: a subscription payment for Platy OS that a Referred Company actually pays and Platy actually collects through Stripe. It does not include free-trial periods, failed or declined payments, taxes, or amounts later refunded or lost to a dispute.
• Commission: the amount you earn under Section 5.
• Portal: your Partner portal at app.getplaty.com, where you see your Referred Companies, charges, commissions and payouts.
• Stripe: Stripe, Inc. and its affiliates, which Platy uses to process payments and send payouts.

3. Joining the Program#

3.1 Eligibility. You must be at least 18, able to form a binding contract, and able to receive payouts through a Stripe account in the United States.

3.2 Existing customers. A Company that already subscribes to Platy OS can refer others through Platy's customer referral program, not this Program, unless Platy agrees otherwise in writing.

3.3 Acceptance. Platy may approve or decline any application, and may pause or close a Partner account that gives false information.

3.4 Your account. Keep your login secure and your contact and payout details current. You are responsible for activity on your account.

4. Referral Codes and Attribution#

4.1 How a Company is attributed to you. A Company is a Referred Company when, at the time it first subscribes to Platy OS, your Code is entered at signup or checkout (including when it was filled in automatically from your Referral Link).

4.2 One Partner per Company. Each Company can be attributed to only one Partner or referral program, and only one code can be used per signup. Once attributed, the attribution is locked for the life of that Company's subscription.

4.3 No attribution after signup. A code can't be added after a Company has subscribed, except when Platy approves a claim under Section 4.4.

4.4 Missing companies. If you believe a Company you referred was not attributed to you, submit a claim through the Portal within 60 days of that Company's signup. Platy will review the claim against its billing records, and its decision is final.

4.5 Self-referrals. You can't earn Commission on a Company that you, your business, your owners, employees or family members own or control. Platy may use signup details (such as email, phone number, card and address) to detect self-referrals.

4.6 Team codes. A business Partner may create team codes for its employees. All Commission on team codes is paid to the business Partner, not to the employee.

5. Commission#

5.1 Rate. You earn a Commission equal to 20% of each Successful Charge from a Referred Company. At today's price of $297 a month, that is $59.40 per monthly charge.

5.2 How long it lasts. You keep earning on a Referred Company for as long as it stays subscribed to Platy OS and this Agreement is in effect, subject to Section 13.4.

5.3 What does not earn Commission. Free-trial periods, failed or declined payments, taxes, charges waived under Platy's customer referral program or any other credit, and charges from a Company attributed to you in breach of this Agreement.

5.4 Retried payments. If a failed payment later succeeds, it becomes a Successful Charge and earns Commission in the month it succeeds.

5.5 Price changes. Platy sets its own prices and may change them. Commission is always 20% of what a Referred Company actually pays.

5.6 Records. Platy's billing records, as shown in your Portal with the Stripe charge ID for each charge, determine the Commission owed.

6. Payouts#

6.1 Payout day. Platy pays Commission for each calendar month on the 1st day of the next month, through a transfer to your Stripe account. Stripe then pays out to your bank on Stripe's schedule.

6.2 Stripe account. To be paid, you must complete Stripe's onboarding and keep your Stripe account in good standing. You agree to Stripe's terms for your account. Platy never sees or stores your bank details.

6.3 Minimum payout. If your balance for a month is under $25, it carries over and is paid on the first payout day when your total balance reaches $25 or more.

6.4 Unpaid balances. Commission earned before your payouts are set up is held and paid on the first payout day after setup is complete.

6.5 Holds. Platy may hold a payout while it reviews a possible breach of Section 8, an open dispute, or a claim under Section 4.4, and will tell you why.

6.6 Statements. Your Portal shows a statement for each payout, with a PDF and CSV download.

7. Refunds, Disputes and Taxes#

7.1 Refunds and disputes. If a Successful Charge is later refunded, or lost to a chargeback or dispute, the Commission on it is deducted from your next payout, shown as its own line. If your balance is negative, it carries forward and nothing is paid until it is positive again.

7.2 Overpayments. If Platy pays you more than you are owed by mistake, Platy may deduct the difference from future payouts.

7.3 Tax information. You must give accurate tax information when Stripe asks for it (for example, your SSN or EIN for a US person).

7.4 Tax forms. Platy, through Stripe, will file a Form 1099-NEC for any calendar year in which you are paid $2,000 or more, or whatever threshold the IRS then requires, and deliver a copy to you electronically.

7.5 Your taxes. You are responsible for all taxes on your Commission. Platy does not withhold taxes unless the law requires it.

8. How You Promote Platy#

8.1 Be accurate. When you describe Platy OS, describe it truthfully. Pricing is always stated as "14 days free, then $297 a month," with a card required at signup and nothing charged until the trial ends. Don't promise features, discounts or results Platy doesn't offer.

8.2 Say you're a partner. When you recommend Platy, make clear that you earn a commission if someone subscribes, as the FTC's endorsement rules require. For example: "I'm a Platy partner and earn a commission if you sign up."

8.3 Follow the law. Follow all laws that apply to your marketing, including rules on email (CAN-SPAM), texts and calls (TCPA), and privacy.

9. What You May Not Do#

You may not:

• Create fake, duplicate or test signups, or pay or reward a Company to sign up with your Code (beyond Platy's own offers).
• Offer your own rebates, cash back or discounts tied to Platy.
• Send spam, or text or call people without the consent the law requires.
• Bid on "Platy," "Platy OS," "getplaty" or close variations in paid search ads, or use them in domain names, social handles or app names.
• Pretend to be Platy, or say or imply that you work for Platy.
• Post your Code on coupon or deal sites.
• Use a Company's information from your Portal for anything other than tracking your Commission.
• Interfere with a Company's subscription, or tell a Company to cancel and re-subscribe under your Code.

If you break this Section, Platy may withhold Commission on the affected Companies and may end this Agreement under Section 13.

10. Platy's Name and Materials#

10.1 License. While this Agreement is in effect, Platy gives you a limited, revocable, non-exclusive and non-transferable license to use the Platy OS name, logo, mascot and the marketing materials Platy provides, only to promote the Program as this Agreement allows.

10.2 No changes. Don't change Platy's logos or mascot, or combine them with other marks.

10.3 Stopping use. Platy may ask you to change or stop using any material, and you will do so within 5 business days. When this Agreement ends, stop all use.

10.4 Your name. You allow Platy to list your name or business name as a Platy partner. You can opt out at any time by telling Platy.

11. Independent Contractor#

You are an independent contractor, not an employee, agent or partner of Platy in the legal sense. You can't sign contracts or make promises for Platy. You pay your own costs of promoting Platy.

12. Confidentiality and Data#

12.1 What you see. Your Portal shows the names of your Referred Companies, their subscription status and their charges. This is Platy's confidential information.

12.2 How you use it. Use it only to track your Commission. Don't share it, sell it, or use it to contact those Companies about anything unrelated to Platy.

12.3 Your data. Platy handles the information you give it as described in the Platy Privacy Policy at getplaty.com/privacy. Stripe handles your payout and tax information under its own terms.

13. Term and Ending the Agreement#

13.1 Term. This Agreement starts when you accept it and continues until either of us ends it.

13.2 Ending for convenience. Either of us can end this Agreement at any time with 30 days' written notice, including by email or through the Portal.

13.3 Ending for cause. Platy can end this Agreement right away if you break Sections 4.5, 8, 9 or 12, give false information, or commit fraud.

13.4 What happens to Commission.

• If Platy ends it for convenience, or ends the Program: Commission earned through the end date is paid on the normal schedule, then it stops. Nothing is earned after the end date, even on Referred Companies that stay subscribed.
• If you end it: Commission earned through the end date is paid on the normal schedule, then it stops.
• If Platy ends it for cause: unpaid Commission tied to the breach is forfeited, and no further Commission is earned.

13.5 What survives. Sections 7, 11, 12, 13.4, 15, 16, 17 and 18 continue after this Agreement ends.

14. Changes to the Program#

Platy may change this Agreement or the Program, including the Commission rate, by giving you at least 30 days' notice by email and in the Portal. A change to the rate applies only to charges made after the change takes effect. If you don't agree to a change, you can end this Agreement before it takes effect. If you keep participating after that date, you accept the change. Each version is saved with the date you accepted it.

15. Limits on Liability#

15.1 No guarantee. Platy does not promise that you will earn any amount, or that the Portal or Platy OS will always be available or error-free. The Program is provided "as is."

15.2 Cap. To the extent the law allows, neither of us is liable for indirect, incidental, special or consequential damages, or lost profits. Platy's total liability under this Agreement is limited to the Commission paid or owed to you in the 12 months before the claim.

16. Indemnity#

You will defend and hold Platy harmless from claims by others that arise from your marketing, your breach of this Agreement, or your violation of law.

17. Governing Law and Disputes#

This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts in Gregg County, Texas, and both of us agree to their jurisdiction.

18. General Terms#

• Whole agreement. This Agreement is the whole agreement between us about the Program and replaces any earlier discussions.
• Assignment. You can't transfer this Agreement without Platy's written consent. Platy may transfer it to a company that acquires Platy OS or its business.
• Notices. Platy sends notices to the email on your account. You send notices to partners@getplaty.com.
• Severability. If any part is found unenforceable, the rest stays in effect.
• No waiver. Not enforcing a term once doesn't waive it.
• Electronic signature. Typing your name and accepting at signup is your electronic signature, and it is as binding as a handwritten one. Platy keeps a record of your name, the date and time, your IP address and the version you accepted, and emails you a copy.

Acceptance#

By checking "I've read and agree to the Platy Partner Agreement" and typing your full name at signup, you accept this Agreement, version 1.0, effective September 29, 2026.
